Your use of The Subsea Team Website, Services and Products are subject to these terms and conditions.

 

Definitions and Interpretation

In this Agreement the following terms (including their plurals) shall have the following meanings:

 

“The Subsea Team” means the trading name of Fox Red Projects (Subsea) Ltd and The Subsea Team Ltd, and when used shall be deemed to refer to both entities unless otherwise stated;

“Client” means you, the purchaser of any Product or Service through The Subsea Team Website;

“Content” means any text, graphics, images, audio, video, software, data compilations and any other form of information capable of being stored in a computer that appears on or forms part of this Website;

“Service” means collectively any online or in-person facilities, tools, services or information that The Subsea Team makes available through the website either now or in the future;

“Product” means any electronic or physical facility, item, tool, services or information that The Subsea Team makes available through the website, or via other electronic means.

“System” means any online communications infrastructure that The Subsea Team makes available through the Website either now or in the future. This includes, but is not limited to, web-based email, newsletters and email links;

“User” / “Users” means any third party that accesses the Website and is not employed by The Subsea Team and acting in the course of their employment; and

“Website” means the website that you are currently using (www.thesubseateam.com) and any sub-domains of this site unless expressly excluded by their own terms and conditions.

1.1 This document and any associated documents referred to within it, form the basis of the terms and conditions for the Services provided by The Subsea Team website.

1.2 When considering placing an order make sure that:

1.2.1 You read these terms and conditions carefully, paying particular attention to the section referring to refunds.

2.2 “The Subsea Team” is a trading name of Fox Red Projects (Subsea) Ltd and The Subsea Team Ltd.

2.3 The Subsea Team Ltd is company registered in Scotland – registration number SC771994.

2.4 Fox Red Projects (Subsea) Ltd is a company registered in Scotland – registration number SC765788.

3.Communication

3.1 You acknowledge and agree that electronic communication including email and by other electronic means including, but not limited to The Subsea Team website, shall be used as a means of communication over large distances. You also accept that communication by electronic means shall comply with any legal requirements as they would in writing.

3.2 The Subsea Team will contact you by email or other electronic means as agreed between you the Client and The Subsea Team.

3.2 The Subsea Team shall not be liable for any costs incurred by you should you wish to contact The Subsea Team by other means.

 

  1. Intellectual Property

4.1 All Content included on the Website, including, but not limited to, text, graphics, logos, icons, images, sound clips, video clips, data compilations, page layout, underlying code and software is the property of The Subsea Team, our affiliates or other relevant third parties. By continuing to use the Website you acknowledge that such material is protected by applicable United Kingdom and international intellectual property and other relevant laws.

4.2 Users may not reproduce, copy, distribute, store or in any other fashion reproduce material from the website unless given express written permission to do so by The Subsea Team.

4.3 Users may not link to The Subsea Team website without first obtaining written permission.

4.4 Any agreement to link to the website must be:

4.4.1 Only linked to The Subsea Team home page.

4.4.2 Only linked to on a website that is owned wholly by you, and does not contain any copyrighted third party information or infringe the intellectual property of another company or individual. It must not contain and offensive or controversial content, or in any way infringe the laws of the UK or the laws of the country in which that website is hosted.

4.4.3 Used in such a way that it does not damage the reputation of The Subsea Team or its associates.

4.5 Users must not copy, redistribute, screen record or in any other way copy any of The Subsea Team material. This includes, but is not limited to, online or classroom based training sessions and assessment preparation courses.

 

  1. Use of Purchased Content

5.1 All Content purchased by the User are made available under a personal use licence which means that the User is not permitted to share or make available any Content to people other than themselves.

5.2 Content supplied by The Subsea Team may be used only by the User that purchased the Service or Product.

 

  1. Product Delivery Policy (including rescheduling and cancellation)

6.1 All Services are provided subject to availability and acceptance. If The Subsea Team is unable to provide a Product or Service, you have the right to cancel your order.

6.2 Any order you place for shall be considered as an offer to purchase our Product or Services. All such offers received from you are subject to acceptance by The Subsea Team, and The Subsea Team reserves the right to refuse any order placed by you at any time prior to acceptance, without providing an explanation.

6.3 The Subsea Team will acknowledge receipt of any orders placed for a Product or Service. This does not constitute acceptance of your order by The Subsea Team for any Product or Service.

6.4 A contract is only formed upon receipt of payment, purchase order or standalone contract specific to the Product or Service.

6.5 You may cancel or reschedule your Product or Service subject to the cancellation policy which will be informed to you at the point of sale.

6.6 Should you fail to attend your training, then no refund will be owed.

This Website may contain links to other sites. Unless expressly stated, these sites are not under the control of The Subsea Team or that of our affiliates now, or in the future. We assume no responsibility for the content of such websites and disclaim liability for any and all forms of loss or damage arising out of the use of them. The inclusion of a link to another site on this Website does not imply any endorsement of the sites themselves or of those in control of them.

 

  1. Privacy

Use of the Website is also governed by our Privacy Policy which is incorporated into these terms and conditions by this reference.

9.1 The Subsea Team makes no warranty or representation that the Website, and Products or Services contained therein will meet your requirements, that they will be of satisfactory quality, that they will be fit for a particular purpose, that they will not infringe the rights of third parties, that they will be compatible with all systems, that they will be secure and that all information provided will be accurate. The Subsea Team makes no guarantee of any specific results from the use of the Service or Products.

9.2 No part of the Website, its content nor any of our Services are intended to constitute advice and should not be relied upon when making any decisions or taking any action of any kind.

 

  1. Availability of the Website

The Service is provided “as is” and on an “as available” basis. We give no warranty that the Service will be free of defects and / or faults. To the maximum extent permitted by the law we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality.

The Subsea Team accepts no liability for any disruption or non-availability of the Website resulting from external causes including, but not limited to, ISP equipment failure, host equipment failure, communications network failure, power failure, natural events, acts of war or legal restrictions and censorship.

 

  1. Limitation of Liability

11.1 To the maximum extent permitted by law, The Subsea Team accepts no liability for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising from the use of the Website, Products or Services or any information contained therein. Users should be aware that they use the Website and its Content at their own risk.

11.2 Nothing in these terms and conditions excludes or restricts The Subsea Team’s liability for death or personal injury resulting from any negligence or fraud on the part of The Subsea Team.

11.3 Every effort has been made to ensure that these terms and conditions adhere strictly with the relevant provisions of the Unfair Contract Terms Act 1977. However, in the event that any of these terms are found to be unlawful, invalid or otherwise unenforceable, that term is to be deemed severed from these terms and conditions and shall not affect the validity and enforceability of the remaining terms and conditions. This term shall apply only within jurisdictions where a particular term is illegal.

 

  1. Pricing

12.1 Prices quoted are for performance of the Services or provision of Products in the United Kingdom unless otherwise specified.

12.2 Prices quoted are subject to VAT.

12.3 By giving notice to you at any time before delivery or performance of The Subsea Team’s obligations to you, The Subsea Team reserves the right to increase the price of the Products and Services to reflect any increase in the cost due to any factor beyond The Subsea Team’s control (such as without limitation, any foreign exchange fluctuation, significant increase in the costs of labour, materials or other costs of manufacture). Should this occur, then you shall be entitled to cancel the order at any time before we have commenced providing the Products or Services.

 

  1. Payment

13.1 Products or Services will only be provided once payment or a purchase order has been received.

13.2 Payment must be made in accordance with the terms set out by the invoice for a Product or Service.

13.3 The Subsea Team will take all reasonable care, in so far as it is in our power to do so, to keep the details of your order and payment secure, but in the absence of negligence on our part, we cannot be held liable for any loss you may suffer if a third party procures unauthorised access to any data you provide when accessing or ordering from our Website.

 

  1. Refunds

14.1 If you are not satisfied with the Services provided, then at the sole discretion of The Subsea Team, we will refund fully the cost of your order, provided that your request is received not later than 14 days after date of purchase. Requests for refunds shall be made electronically to The Subsea Team contact email address. Customers shall state via email the reasons that they are requesting a refund of the Product or Service.

14.2 Refunds will be initiated by The Subsea Team within five working days of receiving a valid and mutually agreed customer refund request. Confirmation of the refund will be via email to the Client.

14.2.2 Once initiated by The Subsea Team please allow a further five working days for the banking network to process the refunded transaction.

 

  1. Complaints

If you have any concerns, complaints or comments about any of the Products or the Services supplied by The Subsea Team, then please contact info@thesubseateam.com.

 

  1. Law and Jurisdiction

These terms and conditions and the relationship between you and The Subsea Team shall be governed by and construed in accordance with the Law of Scotland and The Subsea Team and you agree to submit to the exclusive jurisdiction of the Courts of Scotland.
